Terms and Conditions
1. Introduction
Welcome to newday-newme, a product of Opportunity & Achievements LLC (“Company,” “we,” “our,” or “us”). These Terms and Conditions (“Terms”) govern your access to and use of our AI-powered products, services, platforms, and applications (collectively, the “Services”).
By accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must discontinue use of the Services immediately.
2. Eligibility
You must be at least 18 years old (or the age of majority in your jurisdiction) to use our Services. By using our Services, you represent and warrant that you meet these requirements and have the legal capacity to enter into a binding agreement.
3. Use of Services
You agree to use the Services only for lawful purposes and in accordance with these Terms. You are responsible for ensuring that your use complies with all applicable local, state, national, and international laws and regulations.
Prohibited Activities. You may not:
- Use the Services for any illegal, harmful, fraudulent, or abusive activities
- Reverse engineer, decompile, copy, or resell our AI models, algorithms, or proprietary technology
- Input or generate content that infringes upon the intellectual property rights of any third party
- Use the Services to create misleading, deceptive, defamatory, or harmful AI-generated outputs
- Attempt to disrupt, compromise, or gain unauthorized access to system integrity, security, or infrastructure
- Use the Services to develop competing AI products or services without express written consent
- Circumvent, disable, or interfere with any security or access-control features of the Services
4. AI-Generated Content Disclaimer
Our Services may generate content using artificial intelligence and machine learning technologies. You acknowledge and agree to the following:
- AI-generated outputs may be inaccurate, incomplete, outdated, or reflect unintended biases
- We do not guarantee the correctness, reliability, fitness for a particular purpose, or completeness of any AI-generated content
- You are solely responsible for reviewing, verifying, and validating all AI-generated outputs before use, publication, or reliance
- AI-generated content does not constitute professional advice of any kind, including but not limited to legal, financial, medical, or technical advice
We disclaim all liability for any decisions, actions, or omissions made based on AI-generated content.
Protected Health Information (PHI) & HIPAA
The Services are not intended to collect, store, or process Protected Health Information (PHI) as defined under HIPAA (45 CFR 160.103) unless the Company and the client have signed a Business Associate Agreement (BAA).
- Do not submit PHI to the Services absent a signed BAA. You agree not to input PHI by default, and you are responsible for configuring your use so that PHI is not transmitted to the Services.
- Where the Company acts as a Business Associate under a signed BAA, it will use and disclose PHI only as that BAA and applicable law permit, apply HIPAA-required safeguards, limit access to the minimum necessary, flow down Business Associate obligations to relevant subprocessors, and not use PHI for model training, product improvement, or general human review.
- If PHI is submitted without a BAA in place, the Company may quarantine or delete it and will treat it under the more protective standard pending resolution.
This Section controls over any conflicting provision in these Terms with respect to PHI.
5. Intellectual Property
All rights, title, and interest in and to the Services — including but not limited to AI models, software, algorithms, branding, trademarks, trade secrets, and proprietary content — remain the exclusive property of Opportunity & Achievements LLC.
User Content.
- You retain ownership of all content you input into the Services (“Input”)
- You grant us a non-exclusive, worldwide, royalty-free license to use, process, and store your Input solely for the purpose of operating, maintaining, and improving the Services
- We may use Input and AI-generated outputs to improve, train, and refine our models and Services, except that we do not use Protected Health Information (PHI) for any model-training, product-improvement, or general human-review purpose. Any such use applies only to non-PHI content, and only where not otherwise agreed in a separate written agreement (including a BAA)
- You represent and warrant that you have all necessary rights and permissions to submit your Input and that it does not violate any third-party rights
6. Privacy
Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. We encourage you to review the Privacy Policy to understand our data practices.
We may collect and process data in order to:
- Provide, operate, and deliver the Services
- Improve functionality, performance, and user experience
- Ensure safety, security, and regulatory compliance
- Train, develop, and enhance AI systems and models (where applicable and as permitted by law)
- Communicate with you regarding your account, updates, and promotional offers (with your consent where required)
7. Payment & Subscription
If applicable, certain features or tiers of the Services may require payment. The following terms apply:
- All fees, billing cycles, and payment terms will be clearly disclosed prior to purchase
- Failure to make timely payments may result in suspension or termination of your access to paid features
- All payments are non-refundable unless otherwise expressly stated in writing or required by applicable law
- We reserve the right to modify pricing with reasonable advance notice; continued use after a price change constitutes acceptance
- You are responsible for all taxes and fees associated with your use of paid Services
8. Service Availability
We strive to maintain reliable, consistent, and high-quality Services; however, we do not guarantee:
- Uninterrupted or continuous availability of the Services
- Error-free, bug-free, or vulnerability-free operation
- Permanent access to stored data, configurations, or account information
We reserve the right to modify, update, suspend, or discontinue any aspect of the Services at any time, with or without notice. We shall not be liable for any modification, suspension, or discontinuation of the Services.
9. Limitation of Liability
To the maximum extent permitted by applicable law, Opportunity & Achievements LLC shall not be liable for:
- Any indirect, incidental, special, consequential, or punitive damages
- Loss of data, profits, revenue, business opportunities, or goodwill
- Errors, inaccuracies, or omissions in AI-generated content
- Any unauthorized access to or alteration of your data or transmissions
- Any interruption or cessation of the Services
In no event shall our total aggregate liability exceed the amount actually paid by you (if any) for the Services during the twelve (12) months preceding the event giving rise to the claim.
10. Indemnification
You agree to indemnify, defend, and hold harmless Opportunity & Achievements LLC, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or related to:
- Your use or misuse of the Services
- Your violation of these Terms or any applicable law or regulation
- Your Input or any content you create, submit, or distribute using the Services
- Any misuse, misrepresentation, or harmful application of AI-generated outputs
- Any infringement or violation of third-party rights resulting from your actions
11. Termination
We may suspend or terminate your access to the Services, in whole or in part, at our sole discretion and without prior notice, if you:
- Violate any provision of these Terms
- Pose a security risk to the platform, its infrastructure, or other users
- Engage in activity that is harmful, fraudulent, or otherwise objectionable
You may discontinue use of the Services at any time. Upon termination, your right to access the Services will immediately cease. Sections of these Terms that by their nature should survive termination shall remain in full force and effect.
12. AI Ethics & Responsible Use
Opportunity & Achievements LLC is committed to the ethical and responsible development and deployment of AI technology. In connection with your use of the Services, you agree to:
- Use AI-generated outputs responsibly and in accordance with applicable ethical standards
- Refrain from using the Services to create deepfakes, synthetic media intended to deceive, or content designed to manipulate public opinion
- Refrain from using the Services for mass surveillance, discriminatory profiling, or any application that undermines human rights
- Disclose when content has been generated or substantially assisted by AI, where such disclosure is required by law or reasonably expected by the audience
- Report any observed harmful, biased, or unsafe outputs to us promptly
13. API Usage Terms
If you access the Services through an application programming interface (API), the following additional terms apply:
- API access is subject to usage limits, rate limits, and quotas as specified in the applicable documentation or plan
- You shall not use the API to build substantially similar or competing products or services
- API keys, tokens, and credentials are confidential; you are responsible for safeguarding them and shall not share them with unauthorized parties
- We reserve the right to revoke, suspend, or throttle API access at any time for violations of these Terms or excessive or abusive usage
- All API usage is subject to the same intellectual property, privacy, and liability provisions set forth in these Terms
14. Dispute Resolution
In the event of any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Services, the parties agree to first attempt resolution through good-faith negotiation. If the dispute cannot be resolved informally within thirty (30) days, either party may pursue binding arbitration in accordance with the rules of the American Arbitration Association, conducted in the State of New York.
You agree that any dispute resolution proceedings will be conducted on an individual basis and not as part of a class, consolidated, or representative action.
15. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of New York, United States of America, without regard to its conflict of law principles.
16. Changes to Terms
We reserve the right to update, modify, or revise these Terms at any time. Material changes will be communicated through reasonable means, such as a notice on our website or via email. Your continued use of the Services following the posting of updated Terms constitutes your acceptance of those changes. We encourage you to review these Terms periodically.
17. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.
18. Entire Agreement
These Terms, together with the Privacy Policy and any other agreements or policies referenced herein, constitute the entire agreement between you and Opportunity & Achievements LLC regarding the use of the Services and supersede all prior and contemporaneous agreements, understandings, and communications.
